Terms & Conditions

These Terms & Conditions (the “Terms”) are a legal agreement between you and Sigma-1 Environments (“ShowGrid”, “we”, “us”) governing your access to and use of the ShowGrid website and application (the “Service”). By creating an account, joining a production, or otherwise using the Service, you agree to these Terms. If you are using ShowGrid on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree to these Terms, do not use the Service.

ShowGrid provides tools to plan and run productions — creating stages/sets, days, tasks, dependencies and gates, assigning crew, tracking status, and communicating. We offer the Service on a free tier and may introduce paid plans in the future. We may add, change, or remove features over time, and we may impose reasonable usage limits to keep the Service reliable for everyone.

You are responsible for the accuracy of the information you provide and for all activity under your account. Keep your credentials confidential and notify us promptly of any unauthorized use. When you create a production, you become its global administrator and are responsible for the crew you invite, the roles you assign, and the content added to your workspace. Each production is isolated to its own subdomain and session.

You agree not to:

• break the law or infringe anyone’s rights using the Service;
• upload malware, or attempt to breach, probe, or disrupt the Service or its security or tenant isolation;
• access another production’s data without authorization, or attempt to circumvent access controls;
• reverse engineer, resell, or overload the Service, or use it to build a competing product; or
• upload content that is unlawful, harmful, or that you do not have the right to share.

We may suspend or terminate access that violates these Terms or that threatens the Service or other users.

You retain all rights to the content you and your crew put into ShowGrid (“Your Content”). You grant us a limited, worldwide, non-exclusive license to host, store, process, and display Your Content solely to operate and provide the Service to you and the people you authorize. You are responsible for Your Content and for having the rights necessary to submit it. We handle personal information as described in our Privacy Policy.

The Service, including its software, design, and trademarks, is owned by ShowGrid and its licensors and is protected by intellectual-property laws. These Terms grant you no rights to our marks or software except the limited right to use the Service as permitted here.

The Service is currently free to start. We may introduce paid plans, and we may change the features available on the free tier, but we will not start charging you for a plan without your consent. Nothing here obligates us to keep any particular feature free indefinitely.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. ShowGrid is a coordination tool and is not a substitute for professional safety, engineering, structural, or regulatory judgment. Sign-offs, gates, and statuses in the app are organizational aids only; you remain solely responsible for real-world safety decisions and legal compliance at your event or production.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SHOWGRID, SIGMA-1 ENVIRONMENTS, OR THEIR OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). BECAUSE THE FREE TIER IS PROVIDED AT NO CHARGE, YOU ACKNOWLEDGE THAT OUR LIABILITY FOR IT IS LIMITED ACCORDINGLY.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you; in that case our liability is limited to the smallest extent permitted by law.

You agree to indemnify and hold harmless ShowGrid and Sigma-1 Environments from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if necessary to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario for any dispute not subject to mandatory local consumer-protection law.

Please read this section carefully — it affects how disputes are resolved. We’ll try to resolve any dispute informally first: contact us at legal@showgrid.io and we’ll try in good faith to resolve it within 30 days.

If we can’t, then to the fullest extent permitted by law, you and ShowGrid agree that any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration on an individual basis, rather than in court, except that either party may bring an individual claim in small-claims court or seek injunctive relief for infringement or misuse of intellectual property.

Class-action and jury-trial waiver. You and ShowGrid agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding, and that the arbitrator may not consolidate claims or preside over any form of representative action.

Where mandatory local law (including consumer-protection law) gives you a non-waivable right to bring a claim in a particular forum or as part of a class, that law controls and this section applies only to the extent permitted. Nothing here prevents you from contacting a regulator.

If you send us suggestions or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service and supersede any prior agreements.
• Severability. If any provision is held unenforceable, the rest remains in effect and the provision is modified to the minimum extent necessary.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
• Notices. We may give notice through the Service or by email to your account address; you may reach us at the addresses below.
• Export & sanctions. You represent that you are not on any government restricted-party list and will not use the Service in violation of export-control or sanctions laws.
• Survival. Sections that by their nature should survive termination will do so.

We may update these Terms from time to time. When we make material changes we will update the “Effective” date above and, where appropriate, notify you in the app or by email. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
